A UAE company that invests in real estate — whether it earns rent or sells property for gain — pays corporate tax at 9% on taxable income above AED 375,000, with no special exemption for property-holding companies. An individual, by contrast, does not generally pay corporate tax on unlicensed personal real estate investment income, under Cabinet Resolution No. (49) of 2023. The line between the two is the licence: income from land or property invested in without a licence is excluded from corporate tax for natural persons; activity run through a licensed entity is taxed. Company vs individual: the rule that decides everything

The exclusion for individuals is explicit. Cabinet Resolution No. (49) of 2023 states that revenue from wage, personal investment and real estate investment income is not classified as a business activity of a natural person subject to corporate tax, and defines real estate investment as activity a person conducts for their personal account that is neither conducted through a licence nor requiring one. What this means for a real estate investment company
If the property sits inside a company, the company is a taxable person. Rent, service charges retained, and gains on disposal all feed into taxable income, taxed at:
- 0% on the first AED 375,000 of taxable income, and
- 9% on the excess.
There is no separate real-estate rate and no exemption that turns the rental stream off. Deductions are allowed for expenditure wholly and exclusively incurred for the business — financing costs, maintenance, management fees — subject to the general limitations in Federal Decree-Law No. 47 of 2022 (u.ae corporate tax overview).
A company with revenue of AED 3 million or less in the relevant and previous tax periods may also elect Small Business Relief, which treats taxable income as nil for those periods; the relief is available for tax periods ending on or before 31 December 2029 per the FTA's Small Business Relief guidance.
Registration and filing deadlines
- Companies: register within 3 months of incorporation (for entities formed on or after 1 March 2024). The return is due within 9 months of financial year-end. Late registration carries an administrative penalty starting at AED 10,000.
- Individuals: a natural person conducting business activity subject to corporate tax must register once turnover from that activity exceeds AED 1 million in a calendar year, with registration due by 31 March of the following year. Unlicensed personal real estate investment income does not count toward that turnover, and on its own does not create a registration duty.
Worked example: the same building, two owners
An investor owns an apartment generating AED 600,000 of annual rent.
- Held personally, no licence: the rent is real estate investment income of a natural person — outside corporate tax, regardless of the amount.
- Held through an LLC: the LLC is a taxable person. Taxable income after allowable deductions is taxed at 0% up to AED 375,000 and 9% above; the LLC must also be registered and file annually.
The licence and ownership structure — not the asset — decide the outcome. Changing ownership into a company, or taking a licence for management activity, is a permanent move into the tax net and should be modelled before it is done.
