These Terms and Conditions shall be read alongside our Privacy Policy.
Please read these Terms and Conditions ("Agreement" or "Terms") carefully before using the services offered by
Finanshels Accounting Technologies LLC, and its affiliates and subsidiaries ("Finanshels", "we", "us" & "our"). This Agreement sets forth the legally binding terms and conditions for your and your business or other legal entity's ("you") use of the various websites, subdomains, and web applications owned and operated by Finanshels, including without limitation www.finanshels.com ("Site"), the Finanshels client portal accessible at https://app.finanshels.com ("Portal"), the Finanshels partner portal accessible at https://partner.finanshels.com or https://collab.finanshelscom ("Partner Portal"), the Finanshels reporting platform accessible at https://reports.finanshels.com ("FinDelivery"), Taxation Platform or Halatax at https://halatax.finanshels.com ("Halatax") and the professional accounting, bookkeeping, tax compliance, payroll, financial advisory, and related services offered by Finanshels, together with any tools, software, content, notifications, and features made available in connection therewith (collectively the "Services").
By using the Site or Services in any manner, including but not limited to visiting or browsing the Site, submitting an enquiry, booking an appointment, registering for or accessing the Portal, the Partner Portal, or FinDelivery, or engaging Finanshels for professional services, you agree to be bound by this Agreement. This Agreement applies to all users of the Site, the Portal, the Partner Portal, FinDelivery, and the Services, including users who contribute content, information, or other materials through the Site, the Portal, or the Partner Portal.
By entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity and that you are of legal age to form a binding contract. If you do not have such authority, or if you do not agree to these Terms, you are not permitted to use the Site, access the Portal, the Partner Portal, or FinDelivery, Halatax or engage Finanshels.
This Agreement and all matters arising herefrom shall be governed by and construed in accordance with the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai. Any dispute, difference, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, discharge, or applicable remedies, shall be subject to the exclusive jurisdiction of the Courts of Dubai.
Clients who engage Finanshels for professional services shall also be subject to a separate engagement letter which, together with these Terms, shall constitute the complete agreement between the parties. In the event of any conflict between these Terms and an engagement letter, the engagement letter shall prevail to the extent of the inconsistency.
As with other professional services firms, Finanshels is required by UAE anti-money laundering legislation to identify and verify its clients prior to commencing any engagement. Save for exceptional circumstances, no work shall commence until this requirement has been satisfied. Finanshels may request from you, and shall be entitled to retain, such information and documentation as it requires for these purposes, including searches of appropriate databases and identity verification systems.
You shall use the Site only for lawful purposes and in accordance with these Terms. You shall not use the Site in any manner that violates any applicable UAE or international law or regulation, transmits unsolicited or unauthorised advertising or promotional material, or attempts to gain unauthorised access to any part of the Site, its servers, or any related systems or networks. Without limitation, you shall not upload or transmit any viruses or malicious code, impersonate any person or entity, crawl or scrape any part of the Site by automated means, attempt to reverse engineer any part of the Site or its underlying software, or use the Site to build a competitive product or service.
Finanshels reserves the right to modify, suspend, or discontinue any part of the Site or its features at any time, with or without notice, and without liability. It is your responsibility to review these Terms periodically. Your continued use of the Site following any amendment shall constitute your acceptance of the revised Terms.
The Site may contain links to third-party websites, which are provided for convenience only. Finanshels has no control over such sites and accepts no responsibility for their content or for any loss or damage arising from your use of them. The inclusion of any link shall not be construed as an endorsement by Finanshels.
The content published on the Site is provided for general information purposes only and shall not constitute legal, tax, financial, investment, or professional advice of any kind. Whilst Finanshels takes reasonable care to ensure the accuracy of information published on the Site, no warranty or representation, express or implied, is made as to its accuracy, completeness, or fitness for any particular purpose. You should seek independent professional advice before acting on any information contained herein.
Finanshels shall endeavour to record all professional advice given in the course of an engagement in writing. Advice given orally shall not be intended to be relied upon unless confirmed in writing by Finanshels. For the avoidance of doubt, all advice is valid only as at the date on which it is given.
Upon submitting an enquiry or booking an appointment through the Site, you provide Finanshels with personal information including your name, email address, contact number, company name, and business details. Such information shall be used solely to assess your requirements and respond to your enquiry, and shall not be used for advertising purposes or disclosed to third parties without your consent. All personal information provided through the Site is processed in accordance with our Privacy Policy.
Submission of an enquiry or booking of an appointment shall create no binding obligation on either party and shall not constitute an offer or acceptance of professional services. All information shared during any initial enquiry or discovery discussion shall be treated as confidential in accordance with Clause 11 of these Terms. By providing your contact details through the Site, you consent to receive communications from Finanshels regarding our services and updates. You may withdraw such consent at any time by following the unsubscribe
instructions in any communication or by contacting us at contact@finanshels.com.
Client Portal. Finanshels provides a secure Portal to clients engaged for professional services, through which clients may upload documents, track engagement progress, and communicate with the Finanshels team. By accessing the Portal, you agree to be bound by this Agreement. You shall be solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account, whether or not authorised by you. You shall not share your credentials with any third party or permit unauthorised access to your account.
You shall notify Finanshels immediately at contact@finanshels.com upon becoming aware of any unauthorised use of your account. Clients may designate authorised users within their organisation to access the Portal on their behalf and shall remain solely responsible for all activity by such authorised users. You shall use the Portal only for lawful purposes and in connection with your engagement with Finanshels. All data uploaded through the Portal shall remain your property, and you hereby grant Finanshels a limited licence to access and process such data solely to deliver the agreed services, in accordance with our Privacy Policy.
Finanshels shall take reasonable measures to maintain the security and availability of the Portal but does not warrant uninterrupted access thereto. Finanshels shall not be liable for any loss arising from temporary unavailability due to maintenance or circumstances beyond its reasonable control. Upon termination of your engagement, Portal access shall be suspended, your data shall be made available for export within thirty days, and your account shall thereafter be closed and data deleted in accordance with our retention schedule, subject to any
applicable legal retention obligations.
Partner Portal. Finanshels also provides a secure Partner Portal to referral partners, through which partners may submit enquiries, leads, and supporting information regarding prospective clients referred to Finanshels. By accessing the Partner Portal, a partner agrees to be bound by this Agreement and any separate partner or referral agreement entered into with Finanshels, which shall prevail to the extent of any inconsistency. Partners shall be solely responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their account. Where a partner submits personal data relating to a third party through the Partner Portal, the partner warrants that it has a lawful basis to share such data with Finanshels and that the individual concerned has been informed that their data will be processed by Finanshels in accordance with this Agreement and our Privacy Policy. Finanshels shall process such data solely to evaluate and administer the referral.
FinDelivery. Finanshels may provide FinDelivery for the secure exchange, delivery and storage of documents, reports, requests, approvals and other engagement-related materials. You are responsible for maintaining the confidentiality of your access credentials, ensuring that all information and documents you provide are accurate, complete and lawful, and reviewing and responding to any requests, deliverables or approvals within the required timeframe.
Finanshels does not warrant that FinDelivery will be uninterrupted, error-free or continuously available and shall not be responsible for any loss, delay, missed deadline or other consequence arising from inaccurate or incomplete information provided by you, your failure to review or respond, third-party systems, technical failures, maintenance or circumstances beyond Finanshels' reasonable control. Finanshels may suspend or terminate access at any time where reasonably required for security, operational, legal or engagement-related reasons.
Halatax. Halatax may be used to collect information, communicate with you, generate calculations, summaries, reminders or draft tax and compliance outputs, obtain approvals and support the preparation or submission of filings. You remain responsible for providing complete, accurate and timely information, reviewing all calculations, returns, filings and other outputs before approval or submission, and informing Finanshels promptly of any error, omission or change affecting their accuracy.
Automated or system-generated outputs are based on the information available at the relevant time and do not constitute a guarantee of accuracy, outcome, tax treatment or acceptance by any authority. Finanshels shall not be liable for penalties, interest, losses, delays or other consequences arising from inaccurate, incomplete or late information supplied by you, your failure to review or approve matters on time, changes in law or authority practice, third-party systems, technical failures or matters outside Finanshels' reasonable control, subject always to the liability provisions of this Agreement.
Other Finanshels Digital Services. Finanshels may provide additional portals, applications, dashboards, assistants, integrations, communication channels, automated tools or other digital services from time to time. Unless separate terms apply, all such services are governed by this Agreement and our Privacy Policy. You are responsible for your authorised users, account security, information submitted through such services and any decisions, confirmations or approvals made using them.
Finanshels may modify, replace, suspend or discontinue any digital service or feature and does not guarantee uninterrupted availability, error-free operation or that any automated output will be complete or suitable for every circumstance. Finanshels shall not be responsible for loss arising from reliance on automated outputs, incorrect or incomplete user information, unauthorised access resulting from your acts or omissions, third-party services, technical failures, maintenance or circumstances beyond its reasonable control, subject to the limitation-of-liability provisions of this Agreement.
Finanshels provides accounting, bookkeeping, VAT compliance, Corporate Tax compliance, anti-money laundering compliance support, CFO advisory, and related professional services. The specific services, fees, and terms applicable to your engagement shall be set out in a written quotation issued by Finanshels following your enquiry and, upon acceptance thereof, in an engagement letter.
Nothing on this Site shall constitute an offer to provide professional services. A binding engagement is formed only upon your written acceptance of a quotation, upon payment, or upon execution of an engagement letter. Verbal acceptance alone shall not constitute a binding engagement. For the avoidance of doubt, our professional services are not provided through the Site and are delivered by our qualified team pursuant to a separate engagement process.
Finanshels shall only assist with the implementation of advice where specifically instructed and agreed in writing. Unless otherwise expressly agreed, our services do not extend to the detection of fraud, error, or irregularity beyond what is reasonably apparent in the ordinary course of performing the agreed services. All fees, payment terms, and billing arrangements applicable to your engagement shall be set out in the written quotation and engagement letter issued by Finanshels.
Finanshels accepts payment by bank transfer, payment link, or through third-party payment processing platforms as notified at the point of invoicing. Where payment is processed through a third-party platform, that platform's own terms and conditions may apply to the transaction.
Save as provided herein, all fees paid to Finanshels are non-refundable. Finanshels reserves the right, at its sole and absolute discretion, to consider refund requests in exceptional circumstances. Any refund approved by Finanshels management shall be processed within 7 (seven) working days through the original payment method. The decision of Finanshels management in relation to any refund request shall be final and binding.
All content on the Site and the Portal, including without limitation text, graphics, logos, images, data, and software, is the property of Finanshels or its licensors and is protected by applicable intellectual property, copyright, and trade mark laws. You shall not copy, reproduce, republish, upload, transmit, distribute, or otherwise exploit any such content without the prior written consent of Finanshels.
Finanshels shall retain all copyright and other intellectual property rights in any document, report, analysis, template, or work product prepared in the course of a professional engagement, save where applicable law specifically provides otherwise. Subject to full payment of all fees due, Finanshels grants you a personal, non-exclusive, non-transferable licence to use such work product solely for your own internal business purposes. All methodologies, tools, platforms, and systems proprietary to Finanshels, including the Portal, shall remain the sole and exclusive property of Finanshels at all times. Nothing in these Terms shall operate to transfer any intellectual
property rights to you.
Your own data and documents shall remain your property at all times and shall be used by Finanshels solely to deliver the services agreed under your engagement.
All information exchanged between the parties in connection with the use of the Site, the Portal, or any professional engagement shall be treated as confidential. Finanshels shall take all reasonable steps not to disclose your information to third parties save where required by applicable law, by a court or regulatory authority of competent jurisdiction, or as set out in our Privacy Policy. This obligation of confidentiality shall apply during and after any engagement. Where Finanshels subcontracts work on your affairs to other qualified professionals, such subcontractors shall be bound by equivalent obligations of confidentiality and data security.
By reason of Finanshels' obligations as a DNFBP under UAE anti-money laundering legislation, Finanshels may be required to make disclosures to regulatory authorities or law enforcement agencies without your knowledge or consent. Finanshels is legally prohibited from informing you of any such disclosure where doing so would constitute a tipping-off offence under UAE law, and you agree that Finanshels shall incur no liability to you in connection with any such report or disclosure.
Both parties shall comply with all applicable data protection laws, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and, where applicable, the EU General Data Protection Regulation. Our Privacy Policy sets out in full how we collect, use, process, retain, and protect personal data relating to website visitors, enquiry leads, Portal users, and professional services clients, and is incorporated into these Terms by reference. By using the Site, accessing the Portal, or engaging Finanshels, you acknowledge that you have read and understood our Privacy Policy.
Finanshels employs artificial intelligence and automated technology tools across its operations, including in the delivery of professional services, marketing, and internal business functions. By engaging Finanshels for professional services or using the Site or the Portal, you consent to your data being processed through such tools, including where such processing is carried out by service providers located outside the United Arab Emirates, subject to the confidentiality obligations set out in Clause 11 of these Terms. Finanshels does not sell your data or use it to train publicly available or third-party AI models, and all technology tools deployed by Finanshels shall be subject to
appropriate data protection and confidentiality agreements and operated in accordance with our Privacy Policy.
Where a conflict of interest arises in Finanshels' relationship with you, or between you and another client, and such conflict is capable of being addressed by the adoption of suitable safeguards, Finanshels shall adopt those safeguards. Where a conflict cannot be managed in a manner that adequately protects your interests, Finanshels shall be unable to provide further services in relation to the matter concerned and shall inform you promptly. Notwithstanding the foregoing, Finanshels reserves the right to act for other clients whose interests are not the same as or are adverse to yours, subject always to its obligations of confidentiality.
To the fullest extent permitted by applicable law, Finanshels shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Site, the Portal, or any content published thereon. Nothing in these Terms excludes liability for fraud, gross negligence, wilful misconduct, death, or personal injury caused by negligence, or any other liability that cannot lawfully be excluded under UAE law.
Clients engaged for professional services shall be subject to the liability and indemnity provisions set out in their engagement letter, which shall govern in the event of any conflict with these Terms.
You shall indemnify and hold harmless Finanshels, its affiliates, employees, and agents from and against any claims, losses, and expenses, including reasonable legal fees, arising out of or in connection with your misuse of the Site or Portal, your breach of these Terms, or any infringement by you or any person using your account of any third-party right.
The Site and its content are provided on an "as is" and "as available" basis without warranty of any kind, express or
implied. Finanshels does not warrant that the Site shall be secure, uninterrupted, or error-free, or that any defects shall be corrected.
A person who is not a party to this Agreement shall have no right to enforce any of its terms under the UAE Civil Code or otherwise. No rights or benefits are conferred on any third party by virtue of these Terms.
Finanshels shall not provide services to any individual, entity, or jurisdiction subject to sanctions imposed by the United Arab Emirates, the United Nations Security Council, the United States Office of Foreign Assets Control (OFAC), or any other applicable sanctions authority. By using the Site, accessing the Portal, or engaging Finanshels, you represent and warrant that neither you nor any of your directors, officers, shareholders, or beneficial owners is subject to any applicable sanctions, and that you are not located in, incorporated under the laws of, or acting on behalf of a government of, any sanctioned country or territory. You shall notify Finanshels immediately if your circumstances change in this regard.
Finanshels shall communicate with you via email, WhatsApp, through the Portal, or such other electronic means as are agreed between the parties. The recipient shall be responsible for virus-checking all emails and attachments received. Whilst Finanshels employs appropriate security measures to reduce the risks inherent in electroniccommunication, it cannot be held responsible for damage or loss caused by viruses or for communications corrupted or altered after despatch. Any communication sent by post shall be deemed to have arrived at the recipient's address two working days after the date on which it was sent.
Finanshels is committed to providing a high-quality service. Should you have any cause for complaint in relation to any aspect of our service, please contact us in writing at contact@finanshels.com. Finanshels shall investigate all complaints carefully and promptly and shall endeavour to resolve them to your satisfaction within a reasonable time.
If any provision of this Agreement is held by a court of competent jurisdiction to be void, invalid, or unenforceable, that provision shall be severed and shall be deemed not to form part of this Agreement, and the remainder shall continue in full force and effect. In the event of any conflict between these Terms and any engagement letter or schedule of services issued by Finanshels, the relevant provision of the engagement letter or schedule shall take precedence.
No failure or delay by either party in exercising any right or remedy under this Agreement shall constitute a waiver thereof, nor shall any single or partial exercise of any right or remedy prevent or restrict its further exercise. You may not assign, transfer, or otherwise deal with any of your rights or obligations under this Agreement without the prior written consent of Finanshels. Finanshels may assign or transfer this Agreement or any of its rights or obligations to any affiliate or successor entity upon written notice to you. Nothing in this Agreement shall create or be deemed to create a partnership, joint venture, agency, or employment relationship between the parties.
Finanshels shall have the right to use your company name in a factual manner for marketing or promotional purposes. To refuse this right, you must notify Finanshels in writing at contact@finanshels.com.
