Logistics and freight companies in the UAE pay corporate tax at 9% on taxable income above AED 375,000 and 0% below that threshold, and there is no industry-specific exemption for warehousing, trucking or freight forwarding. The rules come from Federal Decree-Law No. 47 of 2022 and are administered by the Federal Tax Authority (FTA). Small Business Relief — available, if elected, for tax periods ending on or before 31 December 2029 — removes the tax bill entirely for companies with revenue of AED 3 million or less. What the corporate tax regime means for a logistics business
Corporate tax applies to a company's taxable profit, not its revenue or shipment volume. A Dubai-based 3PL, a Sharjah trucking fleet and a free zone freight forwarder all sit inside the same regime; what differs is their registration deadline, their relief options and — for free zone companies — whether they qualify for the 0% rate on qualifying income.
Registration is mandatory for companies regardless of size. Businesses incorporated before 1 March 2024 had registration deadlines during 2024 tied to their licence issue month; companies incorporated on or after 1 March 2024 must register within 3 months of incorporation. Missing your deadline triggers an administrative penalty, and the late-registration penalty starts at AED 10,000. The 9% applies only to the portion above AED 375,000, so a logistics company with AED 500,000 of taxable income owes 9% of AED 125,000 — AED 11,250 — not 9% of the whole amount. Income earned by a free zone company that meets the Qualifying Free Zone Person (QFZP) conditions is taxed at 0% on qualifying income; those conditions include maintaining adequate substance in the free zone, holding qualifying income and preparing audited financial statements.
Deadlines that matter in 2026
- Registration: within 3 months of incorporation for companies formed on or after 1 March 2024. If you are already operating and unregistered, register immediately — the penalty applies from the missed deadline, not from when the FTA notices.
- Filing: the corporate tax return is due within 9 months of the end of your financial year. A December 2025 year-end means a 30 September 2026 filing deadline.
- Record keeping: accounting records and supporting documents must be retained for 7 years from the end of the tax period.
Small Business Relief: the opt-in that zeroes the bill
A resident company with revenue of AED 3 million or less in the relevant tax period and the previous one can elect Small Business Relief on its tax return. If elected, taxable income is treated as nil for those periods. The relief is available for tax periods ending on or before 31 December 2029 — the extension was introduced by Ministerial Decision and is confirmed on the FTA's Small Business Relief page.
Three practical points for small freight and logistics operators:
- It is an election, not automatic. You claim it when filing.
- Revenue is measured across the relevant and previous period — a one-off spike above AED 3 million can disqualify you.
- Registering is still required even if you elect the relief; relief removes the tax, not the compliance obligation.
The international transportation exemption — and why it rarely helps UAE-resident freight companies
Federal Decree-Law No. 47 of 2022 exempts income a non-resident derives from operating aircraft or ships in international transportation, where the conditions in Article 25 are met — including reciprocal treatment from the operator's home state. The law text sets out the full conditions.
This matters for how you read the headlines: the exemption targets foreign airlines and shipping lines operating internationally. A UAE-licensed freight forwarder, customs broker, 3PL or domestic trucking company is a resident person, and its income does not qualify for this exemption by default. Treat any advice that "logistics is exempt" with caution — check who earns the income and where the operator is resident.
