A funding round is won or lost on the numbers. UAE investors diligence the same filings the Federal Tax Authority will one day examine: corporate tax registration and returns, VAT positioning, management accounts that reconcile to bank statements, and audited financial statements where they are required. This guide sets out what CFO consulting delivers during a raise in 2026, the compliance items that appear in every UAE term sheet and data-room checklist, and how to prepare them with the official sources beside each claim.
What the data room must contain — and where CFO work creates it
Investors in UAE companies typically ask for three layers of financial information: audited or reviewed historical statements, a management-accounts trail with a monthly close, and a forward model with the assumptions behind it. None of these can be assembled in the two weeks before a term sheet; they are outputs of disciplined bookkeeping and CFO oversight running months before the raise.
The compliance core every data room now includes:
- Corporate tax registration. Registration is mandatory for taxable persons, and late registration carries an administrative penalty of AED 10,000 (Federal Decree-Law No. 47 of 2022; Cabinet Decision No. 75 of 2023). An unregistered investee company is a diligence finding before diligence even starts.
- The corporate tax return. Due, filed and paid within nine months of the end of the tax period (Federal Decree-Law No. 47 of 2022, Art. 53). A calendar-year company raising in 2026 shows the return for the year ended 31 December 2025, filed on EmaraTax.
- Taxable income position. 0% on taxable income up to AED 375,000 and 9% above it; a company with revenue not exceeding AED 3 million may elect Small Business Relief for tax periods ending on or before 31 December 2029 (Ministerial Decision No. 131 of 2026). The model should state which treatment the company has elected and why.
- VAT standing. Registration is mandatory once taxable supplies and imports exceed AED 375,000 in a 12-month period, with voluntary registration from AED 187,500 (Federal Decree-Law No. 8 of 2017, Art. 50). Investors check returns are filed on time and input tax claims survive scrutiny.
- Audit status. Audited financial statements are mandatory for taxable persons with revenue above AED 50 million in the tax period, and for qualifying free zone persons claiming the 0% rate (Ministerial Decision No. 84 of 2025). Even below those thresholds, most institutional investors expect at least one audited year.
How a CFO changes the raise, stage by stage
| Stage | What the CFO produces | Why investors care |
|---|---|---|
| Pre-diligence (3–6 months out) | Clean monthly close; tax and VAT filings current; equity and ESOP schedules reconciled | Surprises in the data room kill or reprice deals |
| Model build | Driver-based forecast; tax treatment stated per period; cash runway against the raise | Assumptions survive interrogation |
| Data room | Indexed filings, contracts, bank reconciliations, one finance narrative | Fast, credible Q&A; fewer red flags |
| Term sheet to close | Completion accounts support; working-capital peg analysis | The post-money ownership you agreed is the one you keep |
Decision aid: is your finance function raise-ready?
| Check | Ready | Not ready |
|---|---|---|
| Corporate tax registered and returns filed | EmaraTax shows registration and current-period return | Unregistered, or a missed return with penalties accruing |
| VAT returns current | All periods filed by the 28th of the following month | Open periods or refund claims under review |
| Monthly close | Closed within 10 working days, reconciled to bank | Management accounts rebuilt from bank statements |
| Audit position | Audited year(s) available where required (MD 84/2025) | No audited year above the thresholds |
| Forecast | Driver-based model with stated tax treatment | A spreadsheet ending in a hockey stick |
FAQ
Does raising money change my corporate tax position in the UAE?
Invested capital itself is not taxable income, but the raise changes your compliance profile: investors will verify corporate tax registration, filed returns and VAT standing, and the new scale of operations may change which thresholds apply — such as the AED 50 million audit trigger (Ministerial Decision No. 84 of 2025).
Can a startup elect Small Business Relief while raising funds?
A business with revenue not exceeding AED 3 million can elect the relief for tax periods ending on or before 31 December 2029 (Ministerial Decision No. 131 of 2026). Whether electing is right depends on the deductions or group relief being given up — a CFO should model both outcomes before the election is made.
When do UAE startups need audited accounts?
Under Ministerial Decision No. 84 of 2025, when revenue exceeds AED 50 million in the tax period or when claiming the qualifying free zone 0% rate. Funders, banks and some licence authorities frequently require one earlier.
