A branch office of a foreign company in the UAE has no separate legal personality, but it can still be a separate taxpayer: if the branch amounts to a Permanent Establishment for corporate tax, the foreign company registers with the Federal Tax Authority (FTA), computes tax on the income attributable to the branch, and keeps UAE books that reconcile line by line to the head office.
TL;DR
- A foreign company's UAE branch pays corporate tax on income attributable to its Permanent Establishment.
- Register within six months of the PE's existence (PEs arising from 1 March 2024); nine months for PEs that existed before 1 March 2024.
- Recharges from head office are imports of services — reverse-charge VAT applies.
- Invoicing third parties outside the UAE can be zero-rated if the conditions are met.
- Keep branch records for seven years after each tax period.
Bookkeeping for branch offices of foreign companies in the UAE: what the 2026 rules require
Four rules set the branch's position:
- The branch is taxed as part of the foreign company. A Non-Resident Person that has a Permanent Establishment (PE) in the UAE is within corporate tax scope, and income attributable to the PE is taxable. For a fixed place of business PE, the FTA's guidance recognises the PE once the requirements are met, including a degree of permanence of six months in the UAE, counting from when the Corporate Tax Law came into force on 1 June 2023 (FTA Public Clarification, 11 June 2024).
- Registration runs on two clocks. Under FTA Decision No. 3 of 2024, a non-resident juridical person with a PE that existed before 1 March 2024 had nine months from the PE's date of existence to register; a PE arising on or after 1 March 2024 must register within six months of that date. If an international agreement provides a longer recognition period, it prevails. Missing the timeline brings an AED 10,000 administrative penalty (FTA — Corporate Tax Registration).
- Filing and records follow the standard cycle. The Tax Return is due within nine months of the end of the tax period, and records are kept at least seven years after the end of the tax period they relate to (FTA, 2 September 2026; FTA, 27 August 2025).
- VAT applies to the branch's own activity. Registration becomes mandatory when the branch's taxable supplies and imports exceed AED 375,000 over 12 months (or are expected to within 30 days), with voluntary registration above AED 187,500 (FTA — Registration for VAT).
Step 1 — Register the PE before the clock runs out
Identify whether the branch meets the PE conditions, then register on EmaraTax as a non-resident juridical person with a PE. For branches established before 1 March 2024 the nine-month clock ran from the date of existence of the PE; for later branches the deadline is six months. Where a natural person (for example, a resident consultant with a UAE PE) crosses AED 1 million in turnover in a calendar year, registration is due within three months of meeting the threshold (FTA Public Clarification, 11 June 2024).
Step 2 — Run two ledgers, not one
The branch is not a separate company, so its books exist inside the head office's accounting universe. Make that explicit:
- A UAE branch ledger — every dirham the branch earns and spends, in the branch's own name: licence fees, rent, staff, equipment.
- A head-office view — the foreign company's own books, with the branch's results folded in under the same accounting standard.
- One mapping table — a documented link between branch accounts and HQ accounts, so the FTA's verification of the branch reconciles to the consolidated picture without a rebuild.
Do not run one mixed ledger. The FTA looks at the branch's attributable income; a single pool of transactions forces a re-mapping exercise at every audit.
Step 3 — Handle head-office recharges correctly
Recharges from the foreign parent are imports of services, and the branch is typically registered or required to register for VAT in the UAE — so the reverse charge mechanism applies, with output VAT self-accounted and generally recovered where the cost relates to taxable activity (Cabinet Decision No. 52 of 2017, Article 48).
- Invoice every recharge: shared software seats, regional management time, group marketing. A recharge without an invoice is a deduction without evidence.
- Document the pricing basis for each recharge so the amount attributable to the UAE activity is provable.
- Book the reverse charge entry in the same period as the recharge — a missing entry is an understatement the FTA can adjust.
Step 4 — Get the VAT position right on branch revenue
Where the branch supplies services to customers outside the UAE, the export of services can be zero-rated when the conditions are met: the recipient does not have a place of residence in an implementing state and is not connected to the supplier, and the services are not used inside the UAE (Executive Regulation of Federal Decree-Law No. 8 of 2017, Article 31). Keep the evidence of the customer's residence and use — the zero rate is an evidence test, not an assumption. Local UAE revenue is standard-rated at 5%.
Step 5 — Compute tax on the branch, not the group
The foreign company's corporate tax computation covers the income attributable to the UAE PE: branch revenue, branch costs, and the head-office recharges that genuinely relate to the UAE activity. Repatriating branch profits to the foreign parent is a transfer of the company's own money, not a dividend from a separate entity — the taxable event is the branch's income, not its repatriation. If the branch's activity makes it a taxable person with revenue exceeding AED 50 million in a tax period, audited financial statements prepared by a UAE-registered auditor are required (FTA — Determination of Taxable Income guide).
The branch bookkeeping calendar for 2026
| Task | When | Rule it follows |
|---|---|---|
| Corporate tax registration | 6 months from PE existence (from 1 Mar 2024); 9 months for earlier PEs | FTA Decision No. 3 of 2024 |
| VAT registration check | When 12-month taxable supplies approach AED 375,000 | FTA — Registration for VAT |
| Monthly branch ledger close and HQ reconciliation | Month end | Internal control |
| Reverse charge on HQ recharges | Same period as each recharge | Cabinet Decision No. 52 of 2017, Article 48 |
| VAT return (if registered) | Per FTA assignment, usually quarterly | Federal Decree-Law No. 8 of 2017 |
| Corporate tax return | Within 9 months of financial year end | FTA, 2 September 2026 |
| Records retention | 7 years after each tax period | FTA, 27 August 2025 |
Common branch bookkeeping mistakes in the UAE
- Assuming the branch is "not a company" and therefore not a taxpayer. A PE within the UAE is in corporate tax scope, and the registration clocks run from the PE's existence.
- Mixing branch and head-office transactions in one ledger, then reconstructing the branch position at filing time.
- Booking HQ recharges without invoices or without the reverse charge VAT entry.
- Applying 5% VAT to services exported outside the UAE when the zero-rating conditions are met — or the reverse: zero-rating without evidence.
- Treating repatriated profits as a taxable event on top of the branch's income.
Frequently asked questions
Does a foreign company's UAE branch pay corporate tax?
Yes, on the income attributable to the branch when it is a Permanent Establishment under Federal Decree-Law No. 47 of 2022. The branch itself does not pay separately — the foreign company's UAE liability sits on the PE's attributable income.
When must a foreign company register its UAE branch for corporate tax?
For a Permanent Establishment arising on or after 1 March 2024, within six months of the PE's date of existence. PEs that existed before that date had nine months. If an international agreement gives a longer recognition period, it prevails. Late registration carries an AED 10,000 penalty.
Is VAT due on head-office recharges to the UAE branch?
The recharge is an import of services. Where the branch is registered or required to register for VAT, the reverse charge applies: the branch self-accounts for the output VAT, and can generally recover it where the cost relates to taxable activity.
Does a branch need separate books from the head office?
Practically, yes. Corporate tax looks at income attributable to the PE, so the branch needs its own ledger with a documented mapping to the head office's consolidated books — not one mixed pool of transactions.
How are branch profits taxed when sent back to the foreign parent?
Repatriation is not a second taxable event. The branch's attributable income is taxed in the UAE; moving it to the parent afterwards is a transfer within the same legal entity.
How long must a branch keep its records?
At least seven years after the end of the tax period to which they relate, for corporate tax purposes — and five years for VAT records.
One last thing
The branch's most expensive record is the one nobody keeps: the mapping between branch ledger and head-office books. The FTA verifies the branch's attributable income against the foreign company's position, and a rebuild under audit pressure costs more than the mapping table that would have prevented it.
