Corporate tax for professional consultancy firms in the UAE works the same way it does for every mainland business: the first AED 375,000 of taxable income is taxed at 0% and everything above it at 9%, under Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses. What changes for consultancy firms is the detail — sole-establishment consultants follow the natural-person turnover rules, free zone consultancies must hold their position under the qualifying-income tests, and every firm must have registered within the FTA's deadlines or face the AED 10,000 late-registration penalty. This guide sets out the rates, the registration and filing deadlines, the free zone question and the reliefs a consultancy can actually claim, with each rule cited to the instrument that governs it.
Who counts as a professional consultancy firm for corporate tax
UAE corporate tax looks at the licence, not the label. A consultancy firm is simply a resident juridical person — an LLC, a sole establishment or a free zone company — whose taxable income is computed from its audited or management accounts and adjusted under Federal Decree-Law No. 47 of 2022. Registration became mandatory for all licence holders under FTA Decision No. 3 of 2024: companies incorporated on or after 1 March 2024 had three months from incorporation, and older licence holders had month-based deadlines that have since passed — so any consultancy without a Tax Registration Number today is already late (see the deadline table in corporate tax registration deadlines by licence issue month).
A sole-establishment consultant is treated as a natural person. Cabinet Decision No. 49 of 2023 puts the registration trigger at AED 1 million of turnover in a calendar year, measured on revenue, not profit — a consultant billing AED 1.1 million and clearing AED 120,000 after costs still must register.
The rate and the AED 375,000 band
Article 3 of Federal Decree-Law No. 47 of 2022 sets the rates directly: 0% on taxable income up to AED 375,000, 9% on the excess, for every taxable person that does not qualify for a specific regime. A consultancy firm with AED 500,000 of taxable income therefore owes 9% of AED 125,000 — AED 11,250. Taxable income starts from accounting income and is adjusted for exempt income, disallowances and related-party rules under the same law.
Two reliefs matter for small and young consultancies:
- Small Business Relief (Article 21 of Federal Decree-Law No. 47 of 2022, extended by Ministerial Decision No. 131 of 2026): resident persons with revenue not exceeding AED 3 million in every relevant period can elect to be treated as having no taxable income. The relief now runs for tax periods ending on or before 31 December 2029. Full conditions are in how to qualify for small business relief under UAE corporate tax.
- The 0% band itself needs no election — it applies automatically, but only if the firm's books actually support the taxable-income figure the return reports.
Registration, filing and record-keeping deadlines
| Obligation | Deadline / rule | Rule and source |
|---|---|---|
| CT registration | Within 3 months of incorporation (entities created on or after 1 Mar 2024); earlier staggered dates for older licences | FTA Decision No. 3 of 2024, Arts 3 and 5 |
| Late-registration penalty | AED 10,000, fixed, whenever the application lands after the deadline | Cabinet Decision No. 75 of 2023 (administrative penalties schedule), as amended by Cabinet Decision No. 10 of 2024 |
| CT return and payment | Within 9 months of the end of the financial year | Federal Decree-Law No. 47 of 2022, Art. 53, and FTA Decision No. 5 of 2024 on return deadlines |
| Records retention | 7 years from the end of the tax period the records relate to | Federal Decree-Law No. 47 of 2022, Art. 56 |
| VAT registration and returns | Mandatory above AED 375,000 taxable supplies; returns due 28 days after each period | Federal Decree-Law No. 8 of 2017 on VAT and its Executive Regulation |
The penalty table has no discretion in it: the AED 10,000 registration penalty applies even where no tax is due, and it can be waived only where the firm files its first return within seven months of its first tax period end under the FTA's published waiver conditions. Record-keeping failures start at AED 10,000 and rise to AED 20,000 on a repeat within 24 months under the same schedule.
Free zone consultancies: when the 0% rate survives
A free zone consultancy is only a Qualifying Free Zone Person if it meets the conditions in Article 18 of Federal Decree-Law No. 47 of 2022, and the income definition in Cabinet Decision No. 55 of 2023 with the current qualifying-activities list (Ministerial Decision No. 229 of 2025, which replaced its predecessors). In practice that means:
- The firm's activity must appear on the current qualifying-activities list, and income from transactions with non-free-zone customers only counts as qualifying income where the activity and customer type pass the tests in Cabinet Decision No. 55 of 2023 — including the exclusion for most transactions with natural persons.
- Non-qualifying revenue must stay at or below the lower of 5% of total revenue or AED 5 million per tax period (the de minimis test in Cabinet Decision No. 55 of 2023).
- The firm must maintain adequate substances and, under Cabinet Decision No. 55 of 2023 as amended, hold audited financial statements prepared in line with IFRS.
Break any condition and the whole firm drops to the standard 9%/0% computation for that period — not just the affected revenue. The mechanics are in how to qualify as a Qualifying Free Zone Person in the UAE and the computation walkthrough in how to calculate corporate tax for UAE free zone companies.
Which regime applies to your consultancy
| Your setup | Likely position | What decides it |
|---|---|---|
| Mainland LLC or sole establishment, turnover ≤ AED 3m | 0% under Small Business Relief, once elected, through 31 Dec 2029 | Revenue ≤ AED 3m in every relevant period (Ministerial Decision No. 131 of 2026) |
| Mainland LLC, turnover > AED 3m | 0% up to AED 375,000, then 9% | Article 3, Federal Decree-Law No. 47 of 2022 |
| Independent consultant (natural person), turnover ≤ AED 1m | Outside CT entirely | Cabinet Decision No. 49 of 2023 |
| Independent consultant, turnover > AED 1m | Register and pay like a company | Cabinet Decision No. 49 of 2023 |
| Free zone QFZP consultancy | 0% on qualifying income, 9% on the rest | Article 18, Federal Decree-Law No. 47 of 2022; Cabinet Decision No. 55 of 2023; Ministerial Decision No. 229 of 2025 |
Work down the table in order: the relief rows can wipe out the whole liability, so a consultancy under AED 3 million should elect Small Business Relief on its return rather than rely on the 0% band alone.
VAT runs alongside, not instead
Consultancy is a standard-rated supply: 5% VAT applies under Federal Decree-Law No. 8 of 2017, and a firm with taxable supplies over AED 375,000 must register; voluntary registration is possible above AED 187,500. The registration and penalty mechanics are the same set out in VAT registration for freelancers in the UAE, and late registration or late returns attract the penalties in the VAT schedule of Cabinet Decision No. 75 of 2023. Note also the e-invoicing rollout: under Ministerial Resolution No. 66 of 2026, businesses with revenue of AED 50 million or more must appoint an accredited service provider by 30 October 2026 and issue e-invoices from 1 January 2027, with the threshold below AED 50 million following in 2027 — consultancy invoices are squarely in scope.
What a consultancy firm should do now
- Confirm the Tax Registration Number exists and matches the current licence; register immediately if not — the AED 10,000 penalty does not shrink with delay.
- Test Small Business Relief eligibility against the AED 3 million revenue limit for periods ending on or before 31 December 2029.
- For free zone firms, document qualifying vs non-qualifying revenue against the de minimis test each period and keep audited statements.
- Close the gap between books and the return: taxable income must reconcile to the 7-year record trail required by Article 56.
Finanshels handles corporate tax registration, return preparation and the audit trail behind both for consultancy firms across the UAE mainland and free zones.
