A co-working operator in the UAE books revenue in three shapes that confuse standard bookkeeping: hot-desk memberships billed monthly, dedicated desks and offices billed annually in advance, and meeting-room or event income that lands mid-cycle. This guide sets out the bookkeeping structure for UAE co-working, managed-office and business-centre operators as at October 2026 — deferred revenue, VAT on every income stream, VAT recovery on the building costs, and the corporate tax and Small Business Relief position.
Why operator books need a different structure
A co-working business has a high fixed-cost base (rent, fit-out, staff, utilities) and lumpy revenue recognition. A member who pays AED 12,000 in January for an annual desk does not give you AED 12,000 of income in January — you earn AED 1,000 a month. Book that invoice straight to income and your first quarter looks amazing and your Q3 looks like a crisis. The accounting term is deferred revenue; the business outcome is knowing your real monthly run-rate.
The same applies on the cost side. Operating lease payments on the premises are a straight-line expense across the lease term, not the rent cheque you actually write. Fit-out, furniture, and equipment are capitalised and depreciated, not expensed as bought.
The records that matter, and the rules behind them
| Record | What it captures | Rule and source |
|---|---|---|
| Member contract register | Every desk, office, meeting-room and event agreement: billing frequency, start and end date, deposit | The basis for deferred revenue schedules and recurring invoices |
| Deferred revenue schedule | Monthly release of advance-billed memberships into income | Revenue is recognised as the service is delivered, not when invoiced or paid (International Financial Reporting Standard 15, adopted in the UAE for corporate tax purposes via Ministerial Decision No. 114 of 2023) |
| Operating lease schedule | Straight-line rent expense over the lease term | Lease expense is recognised systematically over the lease term (Ministerial Decision No. 114 of 2023; IFRS 16, adopted for UAE corporate tax) |
| VAT treatment per stream | Desk rent, meeting rooms, events, F&B and services, each with its own rate | Standard VAT rate of 5% applies to taxable supplies (Federal Decree-Law No. 8 of 2017, Art. 3) |
| Cost split register | Costs allocated between taxable (desk, meeting room) and exempt or partially taxable activities | VAT on inputs used for both taxable and exempt supplies is recoverable only in proportion (Federal Decree-Law No. 8 of 2017, Art. 57; Cabinet Decision No. 52 of 2017, Art. 66) |
| Records retention | Contracts, invoices, lease agreements, expense records | Keep accounting records for at least 5 years for VAT (FTA guidance) and 7 years for corporate tax (Federal Decree-Law No. 47 of 2022, Art. 55; FTA guidance, 27 August 2025) |
VAT treatment per income stream
Every line a co-working operator bills needs a VAT decision, not a default:
- Desk and office memberships — a standard-rated supply of commercial real estate services, VAT at 5%.
- Meeting rooms and event space — also generally standard-rated at 5%.
- Virtual office and business address — a supply of services, standard-rated at 5%.
- Café, catering or F&B sales — standard-rated at 5%.
- Deposits — refundable deposits held purely as security are not consideration until applied against an invoice.
Registration thresholds are unchanged: mandatory VAT registration above AED 375,000 of taxable supplies in 12 months, voluntary from AED 187,500 (Federal Decree-Law No. 8 of 2017, Arts. 17 and 20).
VAT recovery: the split every operator gets wrong
Operator costs split three ways. Costs for taxable supplies (most of the day-to-day: staff, utilities, cleaning for member areas, marketing) carry recoverable input VAT. Costs for exempt supplies carry blocked VAT. Costs that serve both get apportioned. If part of the building is sub-let as serviced offices and part is used for anything non-taxable, the input tax split must be computed and documented, not estimated (Federal Decree-Law No. 8 of 2017, Art. 57). Operators who skip this either over-claim VAT (an audit risk) or silently absorb VAT that should be recovered — both cost real money.
Corporate tax: what a co-working operator owes
The corporate tax position is the same as any UAE resident company, with the rate thresholds that matter at operator margins:
- 0% on taxable income up to AED 375,000 and 9% above it (Federal Decree-Law No. 47 of 2022, Art. 3; FTA guidance).
- Register for corporate tax within the FTA's timelines — in general, within three months of the end of the tax period (FTA Decision No. 3 of 2024). Late registration carries an AED 10,000 penalty (Cabinet Decision No. 75 of 2023, penalty table).
- File the return and pay within nine months of the end of the tax period (FTA guidance, 19 August 2025).
- Annual revenue of AED 3 million or less may qualify for Small Business Relief, treating taxable income as nil, for tax periods ending on or before 31 December 2029 (Ministerial Decision No. 131 of 2026, amending Ministerial Decision No. 73 of 2023; MoF announcement, 7 August 2026). An operator above AED 3 million, or a Qualifying Free Zone Person, does not qualify.
- Free-zone-licensed operators should review the Qualifying Free Zone Person conditions before assuming a 0% rate: qualifying income, adequate substance, and the revenue thresholds on non-qualifying income apply (Cabinet Decision No. 55 of 2023, as amended).
Decision aid: the monthly close for a co-working operator
- Release deferred revenue for every advance-billed membership billed in the month.
- Book straight-line lease expense, not the rent cheque.
- Split every input-tax invoice across taxable and apportioned cost pools.
- Invoice meeting-room and event income with the right rate at the time of supply.
- Update the VAT registration check against rolling 12-month taxable supplies.
- Track revenue against the AED 3 million Small Business Relief threshold and the FTA calendar.
Frequently asked questions
Do we charge VAT on annual memberships paid upfront? Yes — VAT applies on the invoice or payment, whichever is earlier, at the standard rate of 5% (Federal Decree-Law No. 8 of 2017, Arts. 3 and 26).
Is income from renting desks VAT zero-rated like residential rent? No. Desks, offices and meeting rooms in a co-working space are a commercial supply of services or real estate, standard-rated at 5%. Zero-rating applies to the first supply of a residential building, not commercial office space (Federal Decree-Law No. 8 of 2017, Art. 42 and Art. 45).
Can we recover all input VAT on building costs? Only where the costs serve taxable supplies. Where any activity is exempt or the building use is mixed, input tax is apportioned (Federal Decree-Law No. 8 of 2017, Art. 57).
Do we qualify for Small Business Relief if we run the café and the desks? All revenue counts toward the AED 3 million test. If total annual revenue is AED 3 million or less and the other conditions are met, relief can apply for tax periods ending on or before 31 December 2029 (Ministerial Decision No. 131 of 2026).
